Ooru’s Terms of Service

1. Acceptance

By accessing, installing, or using Ooru’s services, software, digital products, or website (“Services”), you agree to these Terms of Service (“Terms”). If you are accepting on behalf of an organization, you confirm that you have the authority to bind that entity to these Terms. If you do not agree, do not use our Services.

2. Definitions

  • “Ooru,” “we,” “us,” or “our” refers to Ooru Digital Private Limited and its affiliates.

     

  • “You,” “Customer,” or “User” means the individual or entity using or purchasing the Services.

     

  • “Digital Public Goods (DPGs)” means open-source software, open data, open AI models, open standards, and content designed to address critical societal challenges.

     

  • “Digital Public Infrastructure (DPI)” means foundational digital systems such as identity, payments, and data exchange layers that Ooru contributes to and integrates with.

     

  • “Customer Data” refers to data that you upload, transmit, or provide while using the Services.

     

  • “Documentation” means technical guides, manuals, or help files provided by Ooru.

     

3. Grant of License

Ooru grants you a non-exclusive, non-transferable, revocable license to use its Services solely for lawful, internal business or public benefit purposes. Misuse, reverse engineering, sublicensing, or reselling of Services is strictly prohibited unless explicitly permitted.

4. Data Handling

You retain ownership of your Customer Data. Ooru may collect anonymized metadata to enhance product quality and support our open-source contributions. Data is processed in accordance with our [Privacy Policy]. Use of our Services indicates your consent to such processing.

5. Contributions to Public Goods

Ooru builds and maintains digital public goods as part of our mission. When using our Services, you may benefit from and contribute to open systems that support public infrastructure, civic technology, and transparent governance.

6. Updates to Terms

We may update these Terms periodically. When we do, the revised version will carry a new “Last updated” date. Continued use of the Services after an update constitutes your acceptance of the new Terms.

7. Warranty Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE.” Ooru disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operations.

8. Limitation of Liability

To the maximum extent allowed by law, Ooru will not be liable for indirect, incidental, special, punitive, or consequential damages, including data loss or profit loss. Our total liability is limited to the amount paid for Services in the past 12 months.

9. Indemnification

You agree to indemnify and hold harmless Ooru and its affiliates from any claims, liabilities, or damages arising out of your misuse of Services, violation of these Terms, or infringement of third-party rights.

10. Payment & Renewal

For paid Services, terms of payment, renewal, and applicable charges are defined in the applicable order or subscription form. You authorize automatic renewal unless you notify us of termination before the renewal date.

11. Export Compliance

You agree not to use or access the Services in violation of applicable export laws or regulations. You represent that you are not located in a country subject to embargo, nor listed on any restricted party lists.

12. Force Majeure

Ooru is not liable for delays or failure to perform due to events beyond its control, including but not limited to natural disasters, cyberattacks, governmental actions, or internet service interruptions.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the rest of the Terms shall remain in full effect.
